CREATOR LICENSING TERMS

These Creator Licensing Terms (“Creator Terms”) govern the submission, licensing, and management of creative content by Music Creators on the Motor City Sync platform.
By uploading or licensing content, you agree to these Creator Terms in addition to the Terms of Service.

1. Ownership and Control
Creators retain full legal ownership of all music, audio files, compositions, recordings, stems, and associated metadata (“Creator Content”) uploaded to the Platform.
Nothing in these terms transfers ownership of Creator Content to Motor City Sync or any Licensee.
2. Rights and Authority
By uploading Creator Content, you represent and warrant that:
You own or control all necessary rights to the Content
You have authority to grant licenses for synchronization, reproduction, and related uses
The Content does not infringe any third-party rights
All contributors (including co-writers, performers, producers) have been properly cleared
3. License Grant to Motor City Sync
Creators grant Motor City Sync a non-exclusive, worldwide, royalty-free license to:
Host, store, stream, and display Creator Content
Enable playback and previews
Facilitate licensing transactions
Technically process files (encoding, streaming, compression)
Promote Creator Content within the Platform
This license is limited to operating and promoting the Platform and does not permit sublicensing outside licensed transactions.
4. License Types and Availability
Creators may offer Content under one or more license types, which may include:
Non-exclusive licenses
Exclusive licenses
Custom or negotiated licenses
Each license type defines:
Scope of permitted use
Duration
Territory
Media formats
Pricing
Creators are responsible for ensuring that license settings accurately reflect availability and exclusivity.
5. Exclusive Licensing and Takedown
If Creator Content is licensed under an exclusive license:
The Creator agrees that the Content may be removed from public availability
Existing non-exclusive licenses remain valid
Motor City Sync may disable future licensing and playback access as required
Creators acknowledge that technical takedowns may not be instantaneous but will be executed within a commercially reasonable timeframe.
6. Payments and Revenue
Creators receive revenue according to the pricing and revenue structure in effect at the time of sale
Payments are processed through third-party payment providers
Motor City Sync is not responsible for payment processor delays or errors
Creators are responsible for:
Taxes
Royalty splits
Payments to collaborators
7. Content Management and Removal
Creators may:
Update metadata
Adjust license availability
Remove Content from future licensing
Removal does not affect previously granted licenses.
Motor City Sync reserves the right to remove Content that violates platform policies or legal obligations.
8. Warranties and Indemnification
Creators agree to indemnify and hold harmless Motor City Sync from claims arising from:
Infringement allegations
Breach of representations
Failure to clear rights
9. Termination
Upon account termination:
Content may be removed from public display
Existing licenses remain in effect
Records may be retained for legal and financial purposes
10. Modification of Terms
Motor City Sync may update these Creator Terms with reasonable notice. Continued use constitutes acceptance.
