Licensee LICENSING TERMS

These Licensee Licensing Terms (“Licensee Terms”) govern the use of licensed music and related materials obtained through the Motor City Sync platform.
By purchasing or using a license, you agree to these Licensee Terms, the Terms of Service, and the Privacy Policy.

1. License Grant
Upon valid purchase, Motor City Sync grants you a perpetual, non-transferable, non-sublicensable license to use the licensed music (“Licensed Content”) strictly in accordance with the license type purchased.
Ownership of all copyrights remains with the Creator.
2. License Types
A. Non-Exclusive License
The Licensed Content may be used by multiple licensees.
Creator retains the right to license the same content to others.
B. Non-Exclusive License + Stems
Same rights as Non-Exclusive License
Includes access to individual stems for synchronization and mixing
Stems may only be used within the licensed project
C. Exclusive License
Licensed Content is removed from future public licensing
No new licenses are granted after purchase
Prior licenses remain valid
D. Exclusive License + Stems
Same exclusivity as Exclusive License
Includes access to stems
Highest level of access and control
3. Permitted Uses (All License Types)
Unless otherwise stated, Licensed Content may be used in:
Films (short or feature length)
Television and streaming productions
Online videos (including monetized content)
Podcasts
Websites and digital platforms
Social media content and advertisements
Film festivals and public exhibitions
Use may be commercial or non-commercial.
4. Attribution
Attribution is required for all uses where reasonably possible.
Standard Attribution Format:
Music: “[Track Title]” by [Creator Name]

If on-screen attribution is not feasible, attribution must be included:
In end credits
In video descriptions
On associated project websites or materials
Failure to provide attribution constitutes a breach of license.
5. Prohibited Uses
You may not:
Distribute the Licensed Content as standalone audio
Claim ownership or authorship
Register the content with Content ID systems
Resell, sublicense, or transfer the license
Use the content in unlawful, defamatory, hateful, or pornographic material
Use the content in a way that competes with the Platform or Creator
6. Modifications and Edits
You may edit, cut, loop, and synchronize Licensed Content
You may not create derivative works intended for standalone distribution
Stems may only be used as part of the licensed project
7. Breach and Enforcement
If you breach these terms:
The license may be terminated
You must cease all use of the Licensed Content
Motor City Sync may pursue legal remedies
8. No Guarantees
Motor City Sync does not guarantee:
Copyright clearance beyond Creator representations
Suitability for a specific purpose
Protection from third-party claims
9. Governing Law
These Licensee Terms are governed by the laws of the State of Indiana.
