2. Eligibility and Account Registration

You must be at least 18 years old to use the Platform.

When creating an account, you agree to:

  • Provide accurate and complete information

  • Maintain the security of your login credentials

  • Accept responsibility for all activity under your account

You may not:

  • Share accounts improperly

  • Misrepresent your identity or authority

  • Use the Platform for unlawful purposes

3. User Roles and Delegation

The Platform may allow Users to:

  • Act as Creators or Licensees

  • Delegate access to other Users for management purposes

You remain fully responsible for all actions taken by users you authorize.

4. Content Ownership and Rights

A. Creator Ownership

Creators retain full ownership of all Content they upload.

By uploading Content, you represent and warrant that:

  • You own or control all necessary rights

  • Your Content does not infringe third-party rights

  • You have authority to license the Content

B. License Grant to Motor City Sync

By uploading Content, you grant Motor City Sync a non-exclusive, worldwide, royalty-free license to:

  • Host, store, and display Content

  • Enable licensing transactions

  • Perform technical processing necessary to operate the Platform

  • Promote Content within the Platform

This license does not transfer ownership.

5. Licensing Transactions

Licenses purchased through the Platform are governed by:

  • The specific license terms presented at checkout

  • Any supplemental agreement between Creator and Licensee

Motor City Sync:

  • Is not a party to private licensing agreements unless expressly stated

  • Does not guarantee successful placement, revenue, or outcomes

6. Payments, Subscriptions, and Fees

  • Certain features require paid subscriptions or transactions

  • Payments are processed by third-party payment processors

  • Fees are non-refundable unless required by law or expressly stated

We reserve the right to modify pricing with reasonable notice.

7. Prohibited Conduct

You may not:

  • Upload infringing or unlawful Content

  • Attempt to bypass security or access controls

  • Reverse engineer or exploit the Platform

  • Harass, threaten, or abuse other Users

  • Use the Platform for spam or unauthorized solicitation

Violations may result in suspension or termination.

8. Termination

We may suspend or terminate your account:

  • For illegal or harmful activity

  • To comply with legal obligations

You may terminate your account at any time, subject to retention obligations.

9. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

10. Limitation of Liability

To the maximum extent permitted by law:

Motor City Sync shall not be liable for:

  • Lost profits or revenues

  • Data loss

  • Business interruption

  • Indirect or consequential damages

Total liability shall not exceed the amount paid by you in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Motor City Sync from any claims arising from:

  • Your Content

  • Your use of the Platform

  • Your violation of these Terms

12. Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms periodically. Continued use constitutes acceptance.
